His experience includes representing clients in connection with the purchase or sale of businesses; negotiating commercial real estate transactions and leases, banking and commercial loan transactions and employment law.

Representative Experience

Purchase or Sale of Businesses

• Represented client in the technical security field in connection with acquisition of their company by one of the largest consulting and information technology companies in the United States
• Represented defense contractor producing defense and intelligence-oriented satellite and technical systems in acquisition by national company
• Represented defense contractor primarily providing software, analysis, and simulation systems in acquisition by large defense-oriented software company

Commercial Real Estate and Leasing

• Represented insurance company in the purchase of commercial office building in Northern Virginia for twenty million dollars
• Represented clients in the purchase and sale of commercial property in Northern Virginia
• Represented restaurant chains in negotiation of commercial leases throughout the United States

Banking and Commercial Loan Transactions

• Represents regional banks in connection with commercial loans, including SBA loans
• Represents borrowers and lenders with respect to loans secured by real estate

Employment Law

• Represents clients in defense of claims filed with the Equal Employment Opportunity Commission and local equal employment opportunity agencies
• Counsels clients with respect to issues arising under federal, state, and local employment and anti-discrimination laws, including the Americans With Disabilities Act, Age Discrimination in Employment Act, and Fair Labor Standards Act
• Counsels clients with respect to employee equity participation in the client’s business, including review and revision of articles of incorporation and bylaws to protect the client, incentive stock option plans, and various types of restricted stock plans

Business Disputes

• Represented interests of minority shareholder in local petroleum distributor. Suit was then brought for oppression of minority shareholders. The corporation settled by redeeming minority shareholder’s shares.
• Represented medical practice in split-up where physician left the practice, asserting variety of claims against the practice. Successfully negotiated settlement where departing physician went elsewhere, and dropped all of his claims against the medical practice.
