For more than twenty years, Susan has helped closely-held businesses, particularly professional practices, navigate the legal issues that affect them. Classic examples are:
• The formation of start-up companies The sale and purchase of established businesses and business assets
• Reviewing the financing agreements involved in key business transactions
• Employment matters, ranging from creating initial personnel policies and manuals to handling unemployment, termination and discrimination problems
• Training and advising corporate boards on their fiduciary responsibilities
• Drafting, negotiating and then working with contracts between businesses, between businesses and owners and between businesses and their vendors, employees and customers
• Advising on regulatory audits
• Advising non-profit and not-for-profit organizations

Susan has an unusual legal background: she works as a litigator, corporate attorney and employment law practitioner, an exceptionally broad range of skills. In essence, she serves as a General Counsel to her clients, which range from start-ups to long-established national government contractors. She also has considerable expertise representing community associations, particularly in the area of employment law and contracts. She describes her key focus with clients as working to evaluate and minimize the inevitable risks they face as entrepreneurs and business owners.
She has worked with a veterinarian purchasing a clinic who needed bank financing to complete the deal; defended clients against unemployment and discrimination claims before regulatory agencies and courts; developed software services licensing agreements between high-tech companies and teaming partners; advised senior managers who have left employers on their non-compete agreements and advised businesses on drafting effective non-competes with key personnel; and litigated cases as to who actually owns controlling interest in a corporation. She can point to experience on both sides of the table with drafting, negotiating and enforcing executive and staff employment agreements.
Susan also uses her broad litigation, employment law and corporate transactional background to work with individual clients seeking estate planning advice and assistance. Her services include preparation of wills and trusts, estate administration, creation of advance medical directives and general powers of attorney.
